Namrata Nair

Namrata is an advocate registered with the Bar Council of Karnataka and started her career as an associate with Dua Associates, Bangalore; moved to QuisLex Legal Services Private Limited (Leading company in the area of Legal Process Outsourcing), Hyderabad (www.quislex.com) as Legal Associate and was subsequently recruited as an A level associate in Amarchand & Mangaldas & Suresh A. Shroff, Hyderabad. Later, Namrata joined Legist Associates as a Partner.

Namrata is empanelled as an External Member on various Internal Committees (IC) of software companies, media houses and MNCs for Prevention of Sexual Harassment. During the course of her work, Namrata has drafted the anti-sexual harassment at workplace and other HR policies for various start-ups and mid-level companies.

Namrata's expertise is in corporate and commercial laws with a specific focus on setting up start-ups, private equity investments, foreign investments, acquisitions, corporate restructuring, drafting documentation, conducting due diligence, negotiation and general corporate advice. Namrata's industry specific experience includes handling transaction advisory and drafting documents in information technology, telecommunication, manufacturing, biotechnology, energy, infrastructure, real estate, non-banking financial services, Food & Beverage and media and entertainment sectors.

Namrata is currently in the process of drafting transaction documentation for investment in a certain start-up company; drafting the entire film documentation for a certain Production House; drafting other general corporate agreements for certain start-ups; and is also involved in structuring and documentation for an Indian Company investing into a pharma company based in India.

Private Equity

Represented and advised both foreign investors and target companies with regard to investment in various sectors including infrastructure, real estate, bio-technology, information technology, manufacturing, telecom and financial sector.

Capital Markets

Represented and advised a listed company in relation to acquiring a substantial stake in another listed company. Participated in the due diligence and drafting of the offer documents for Initial Public Offer of a company engaged in real estate.

General Corporate

Advised various entities, including multi-national companies, with regard to issues including corporate, commercial, labour, compliance and other related matters.

Drafted, reviewed and negotiated various agreements including services agreements, loan documents, lease rental agreements, joint development agreements, employment agreements, manufacturing agreements, software contracts, sale deeds, Distribution & agency agreements, dealership agreements, franchisee agreements, catering agreements, horse sale agreements, horse breeding agreements, actor/artist agreements, various agreements for films and web series, for various clients.

Assisted and advised clients on structuring their businesses and incorporating companies in India.

Media and entertainment

Represented, advised and negotiated deals on behalf of various large production houses with regard to pre and post production documentation for films and web series. Drafted, reviewed and negotiated various agreements like production agreements, assignment deeds for various rights like digital and broadcast rights, artist agreements, director agreements, investment agreements, creative agreements and various other agreements for a film.

Represented advised and negotiated deals on behalf of various celebrities and artists with respect to artist contracts, endorsement agreements, copyright laws and related matters.
